Effective date: 06 April 20251. Purpose and AcceptanceThese Terms of Service (“Terms” or “ToS”) define the conditions under which:The company Eliott, represented by Marc-Antoine ALLAIN, operates the platform accessible at https://askeliott.com/ (the “Service”), andYou, as a professional or individual user (the “User”, “you”), access and use the Service.By creating an account or using the Service, you acknowledge that you have read, understood and accepted these Terms without reservation.
If you do not agree with all or part of these Terms, you must immediately stop using the Service.2. DefinitionsPlatform / Service: The Eliott web application and its APIs, dashboards, reports, and related features.Content: Any data (text, file, image, database, etc.) imported, submitted, or generated through the Service.Account: The personal or professional space created by the User to access the Service.Subscription: A paid plan granting access to additional features or usage quotas.3. Access to the ServiceThe Service is accessible 24/7, except in cases of force majeure, outages, or maintenance operations — scheduled or unscheduled (§ 9).Some features may require:The creation of an Account (§ 4);Appropriate equipment and Internet connection;A valid Subscription (§ 6).4. Account Creation and SecurityYou must provide accurate, up-to-date, and complete information.
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your Account.Please:Inform us immediately of any unauthorized use;Choose a strong password and update it regularly;Enable multi-factor authentication when available.5. User Obligations and Restrictions5.1. General ObligationsYou agree to:Use the Service in compliance with applicable laws and regulations;Provide and maintain accurate data;Respect the intellectual property rights of the Publisher and third parties.5.2. Prohibited BehaviorIt is strictly forbidden to:Misuse the Service for illegal purposes (spamming, phishing, fraud, etc.);Attempt to access systems or data without authorization;Disrupt or degrade the Service (DDoS, code injection, etc.);Reverse-engineer, decompile, or modify source code except where permitted by law.6. Subscriptions, Pricing, and Billing6.1. Plans and PricingCurrent pricing and feature descriptions are available at https://askeliott.com.
The Publisher reserves the right to modify prices, with 30 days’ prior notice to Users.6.2. Payment TermsPayment is made via credit card or any other method displayed at purchase.
Monthly or annual subscriptions renew automatically until cancellation.6.3. Right of WithdrawalIf you are a consumer, you have a legal 14-day withdrawal period.
However, by choosing to access the digital Service immediately, you acknowledge that you waive this right (Article L221-28 of the French Consumer Code).6.4. Cancellation and RefundsYou may cancel your Subscription at any time from your Account.
Cancellation takes effect at the end of the current billing period.
Amounts already paid remain due and are non-refundable.7. Intellectual PropertyThe Service, its structure, trademarks, logos, databases, text, images, software components and generated content are protected under French and international intellectual property laws.Subject to compliance with these Terms, the Publisher grants you a personal, non-exclusive, non-transferable, limited right of access and use of the Service.Any reproduction, modification, distribution, or creation of derivative works without written authorization is strictly prohibited.8. Personal DataThe processing of your personal data is described in the Privacy Policy, which forms an integral part of these Terms.Key principles:Purpose: We process your data to provide, secure, and improve the Service.Legal Basis: Contract performance and legitimate interest.User Rights: Access, rectification, objection, restriction, portability, erasure.DPO Contact: marcantoine.allain@askeliott.comHosting: OVH – 2 rue Kellermann, 59100 Roubaix, France / EU.Retention: For the duration necessary for the intended purpose or legal requirements.9. Availability, Maintenance and UpdatesThe Publisher will use best efforts to ensure reasonable availability of the Service.
Planned maintenance operations will be announced at least 72 hours in advance.We may make modifications, fixes, or introduce new features without prior notice, provided they do not substantially alter the Service.10. Warranties – ExclusionsThe Service is provided “as is” and “as available”.The Publisher does not guarantee that the Service will be free from errors or that it will meet all specific User needs.
Unless required by law, any express or implied warranties are excluded.11. Limitation of Liability for AI-Generated ResultsEliott uses automation and artificial intelligence algorithms.
The diagnostics, analyses, and recommendations are provided for informational purposes only:They may contain approximations or errors;They do not replace your professional judgment;The Publisher disclaims liability for decisions made (or not made) based on these results.In no event shall the Publisher be liable for indirect damages, loss of revenue, loss of customers, or loss of data, even if advised of the possibility of such damages.12. Suspension or TerminationIn case of serious or repeated breaches of these Terms, the Publisher may:Suspend access to the Service with immediate effect;Terminate the Account after a notice period of 7 days without remedy.All amounts due remain payable.13. Force MajeureNeither party shall be held liable if the performance of its obligations is prevented by an event of force majeure as defined by French case law (natural disaster, war, national internet outage, etc.).14. Evidence AgreementElectronic records (logs) stored within our systems shall constitute proof between the parties, unless proven otherwise.15. SeverabilityIf any provision of these Terms is declared invalid, the remaining provisions shall remain fully enforceable.16. Governing Law and Dispute ResolutionThese Terms are governed by French law.In case of a dispute:Professional Users: exclusive jurisdiction of the courts of Nantes.Consumers: access to free consumer mediation (Article L612-1 of the French Consumer Code) before any legal action.17. Legal Notices and ContactService Publisher: Eliott, represented by Marc-Antoine ALLAIN, Sole Proprietor (“Entrepreneur Individuel”).
